Agreement Description


SCOPE: RASIL SOLUTIONS will perform talent search, placement, and related services (“Services”) for the CLINT as described in Statement of Work )Exhibit A) in the contract.



FEES AND EXPENSES


CLIENT agrees to pay a placement fee to RASIL SOLUTIONS in the amount of 2/3/4 times of the candidate’s estimated total monthly compensation, including allowances and bonuses. Such fee is not subject to reduction even if the candidate’s employment terminates. CLIENT will be obligated to pay such fee whenever:

1. A candidate referred to CLIENT by RASIL SOLUTIONS is hired, directly or indirectly, for any position, as an employee, consultant, or independent contractor, by CLIENT, its affiliates, parents, or subsidiaries, or

2. A candidate referred to CLIENT by RASIL SOLUTIONS is referred by CLIENT to another employer or recruiting firm and the candidate is hired, directly or indirectly, for any position, as an employee, consultant, or independent contractor, by such employer or through such recruiting firm.

In addition to any fees, CLIENT agrees to pay all reasonable CLIENT preapproved expenses incurred by RASIL SOLUTIONS related to the performance of its services under this agreement. Also, CLIENT agrees not to require any candidate to reimburse CLIENT for any fee or expense paid to RASIL SOLUTIONS.



REPLACEMENT GUARANTEE (For package #2 or #3 only)


In the event the employment of a candidate referred to CLIENT under this agreement lasts less than one year (CLIENT need to provide evidence like the candidate resignation letter or final exit visa), and provided that all fees and expenses relating to such referral have been paid, RASIL SOLUTIONS will attempt to refer a replacement candidate for the same position at no additional charge to CLIENT. RASIL SOLUTIONS’s obligation under this agreement is limited to attempting to find a replacement candidate. No refund will be made in any situation (e.g. if CLIENT hires a replacement from any source, or if CLIENT is no longer actively seeking to fill the position).



GENERAL TERMS


The CLIENT agree that any discussion of financial matters including job position package will not be discussed directly with the candidate. All financial matters need to be discussed with RASIL SOLUTIONS only. Also, the CLIENT agrees not to communicate directly with the candidate or try to get his contact information before submitting related original authenticated job contract to RASIL SOLUTUIONS (i.e. stamped and authenticated from Saudi Chamber of Commerce).



PAYMENT TERMS


CLIENT agrees to pay down payment of 2,000 SR after signing this agreement and before the search process starts. Also, CLIENT agrees to pay all placement fees and related expenses within 7 days after receipt of invoice. The down payment of 2,000 SR will be deducted from the total amount. The placement fees are related to a single employee mentioned in this contract.



TERMINATION TERMS


This agreement may be terminated by either party upon 30 days’ written notice to the other party. However, CLIENT shall remain liable to RASIL SOLUTIONS for all fees and expenses due under this agreement for any candidate referred to CLIENT, its affiliates, parents, or subsidiaries, prior to termination. All other provisions of this agreement that by their terms extend beyond the termination of this agreement shall survive such termination and remain in full force and effect.



CONFIDENTIALITY OF REFERRALS


All candidate referrals made by RASIL SOLUTIONS are made on a confidential basis and CLIENT shall hold RASIL SOLUTIONS harmless from any liability resulting from CLIENT’S unauthorized disclosure or misuse of information regarding any candidates or their candidacy.



DISCLAIMER


RASIL SOLUTIONS does not guarantee the performance of any candidate, or the accuracy of information provided regarding a candidate, and disclaims any responsibility for claim, loss, or liability as a result of a candidate’s acts or omissions. RASIL SOLUTIONS urges CLIENT to conduct such investigations, as it deems necessary to verify candidate information or to obtain such other information, as it may deem relevant.
